THIS AGREEMENT between Name of Party Granting License (Licensor) ("Licensor"), of Address of Party Granting License (Licensor) and Name of Party Receiving License (Licensee) ("Licensee"), of Address of Party Receiving License (Licensee) ("Licensee").
WHEREAS:
This Agreement is a license agreement and not an agreement for the sale of software or services.
This Agreement gives Licensee limited rights to use the Software and Related Materials described below and imposes upon Licensee certain obligations to protect the Software and Related Materials from unauthorized use, reproduction, distribution or publication.
NOW THEREFORE in consideration of the mutual covenants and agreements hereinafter contained and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereby agree as follows:
1. Definitions.
2. Grant of License and Reservation of Ownership.
3. License Fee.
4. Copyrights.
5. Permitted Uses of the Software and Related Materials.
6. Uses Not Permitted.
7. Assignment.
8. Term.
9. Updates.
10. Limited Warranty.
11. Confidentiality.
12. No Implied Waiver.
13. Conflict of Documents.
14. Equitable Relief.
15. Governing Law.
16. Entire Agreement.
17. Severability
18. Execution.
